Internal draft - not ready for publication. Prepared 5 October 2026. These terms describe the proposed contractual and operational standard. They do not establish that reporting, appeals, company verification, teen safeguards, recruiting or billing workflows are already implemented. Resolve every [CONFIRM: ...] field and complete terms-implementation-requirements.md, together with the privacy-policy requirements, before publication. Features not yet available must remain disabled until their terms and safeguards are ready. Proposed drafting choices include a 16+ social service, adult authorised business administrators, a limited content licence, proportionate moderation and preservation of mandatory consumer rights. Remove this note only after legal and operational approval.

Effective date: [CONFIRM: effective date] Version: 1.0 - draft Service provider: [CONFIRM: exact registered legal entity], operating as Yenzi App Registered address: [CONFIRM: address, Ghana] Registration details: [CONFIRM: applicable company registration information] Contact: [CONFIRM: support/legal email and required telephone contact]

1. Our agreement with you

Yenzi is a social platform for professional conversation, connections, communities and sharing professional work. These Terms govern your use of Yenzi's mobile app, websites and related services.

You accept these Terms when you complete the account-registration acceptance step or another clearly identified acceptance process. You can read and save the Terms before accepting them. If you do not agree, do not create an account or use features that require acceptance.

Our Privacy Policy explains personal-information handling. Acceptance of these Terms does not provide blanket consent for optional marketing, advertising personalisation or other processing that requires a separate choice.

The Community Guidelines explain our content and safety rules: [CONFIRM: published guidelines URL]. A commercial feature may have additional terms identified before you use or buy it. Mandatory law takes priority. Feature-specific terms govern their stated subject; otherwise these Terms govern. An individually negotiated business agreement overrides these Terms only to the extent expressly stated. Additional terms cannot silently reduce a consumer's mandatory rights or the privacy commitments applicable to the service.

2. Eligibility and young users

Yenzi's proposed minimum age is 16. You must meet the applicable age and participation requirements where you live. Where parent or guardian authorisation is required, access depends on a valid authorisation process; entering a birthday or accepting these Terms does not replace it.

Users aged 16–17 receive the safeguards explained in the Privacy Policy and relevant feature notices. Certain commercial, advertising, company-administration or recruiting functions are restricted to adults with appropriate authority. A young user's eligibility for social participation does not establish capacity to enter every purchase or business agreement.

Do not misrepresent your age or create an account to evade safeguards. If we reasonably believe eligibility is not met, we may restrict access while reviewing proportionate evidence. We explain available review and support options and handle information according to the Privacy Policy and applicable law.

3. Accounts, identity and security

Provide accurate account information and keep it reasonably current. Do not impersonate another person, fabricate professional credentials or claim authority you do not have. A handle may be used where the feature allows it, but must not misleadingly represent another person or organisation.

Keep your credentials and recovery methods secure. Personal accounts belong to individuals; companies should use authorised administrator roles rather than shared personal-account passwords. Notify us promptly if you suspect compromise. You are responsible for activity you authorise and for taking reasonable security precautions; you are not automatically responsible for every unauthorised action by an attacker.

We may request proportionate verification or restrict a suspected compromised account. Verification telephone numbers become trusted authentication or recovery methods only after validation. Company administrators must meet the stronger authentication requirements shown during setup.

We may refuse, restrict or reassign misleading or abusive handles through a fair claim process. First registration of a company name or handle does not establish ownership of its identity or trademark. Legitimate same-name organisations and clearly labelled commentary or parody are assessed in context.

4. Using Yenzi

You may use the app and websites for their intended purposes and use supported tools, integrations and access controls. This permission depends on compliance with these Terms and the rules applicable to each feature.

Do not sell or transfer a personal account, evade a suspension, bypass access restrictions, interfere with service security, or use deceptive automation. Use of bulk access or an API must comply with the applicable published access terms and limits. This does not prevent use of your supported export rights or conduct permitted by mandatory law.

Features and availability may vary by platform, age, location and plan. A roadmap, mock interface or beta feature does not guarantee future release. Any trial or beta is clearly identified; mandatory rights concerning a paid service remain applicable.

5. Content you provide and the licence you grant

You retain the rights you have in your posts, media, portfolios, CVs, pitch videos and other materials. Yenzi does not acquire ownership of your content because you upload it.

You grant Yenzi a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, format, transmit, display and distribute your content only as necessary to operate the features you choose, respect the audience you select, provide authorised sharing, maintain security and comply with applicable legal obligations. Worldwide operation allows authorised hosting and delivery across service locations; it does not make private content public.

This licence permits appropriate technical processing, such as image resizing, video delivery and accessibility formatting, and the search and recommendation processing explained in the Privacy Policy for eligible content. Private CVs, reference contacts and communications are not licensed for unrelated advertising or general-purpose AI training.

We may authorise service providers to perform these limited operations on our behalf. Any transfer of this licence to a lawful business successor remains subject to its purpose, your choices and applicable obligations. The licence does not permit selling your personal information, licensing your private professional files as a dataset, or using you as an endorsement without separate permission.

Recipients may use permitted sharing, quotation and repost features subject to the original audience rules and their own legal obligations. A feature does not authorise copying or publishing a restricted file outside its granted purpose.

The licence ends when content is removed from the systems we control, except to the limited extent necessary for the disclosed deletion/backup process, a lawful retention obligation, or another person's independent lawful rights. Those exceptions do not authorise renewed advertising or unrelated publication of deleted content. Copies already lawfully obtained by others may be outside Yenzi's control.

You confirm that you have the rights or permissions necessary to submit and share your materials. You must respect other people's intellectual property and privacy, including permission to provide reference contacts and confidential work. This does not require ownership where another lawful right, such as an applicable quotation exception, permits your use.

6. Audience, privacy and professional materials

Ordinary social posts and selected profile information support public conversation. Open communities and restricted communities have different audiences. Search-indexing settings do not by themselves make an otherwise public profile private.

Portfolios start private. Publication of a professional summary does not automatically authorise access to a private CV, pitch video, reference contact or account telephone number. Member-visible materials and internet-public materials are distinguished in the relevant controls.

An access grant identifies its recipient, resource, purpose, scope and expiry. You may approve, decline, limit or revoke it through supported controls. Organisation-wide or hiring-team access requires an explicit choice. The ordinary default grant period is 30 days unless another period is shown and chosen.

Recipients must respect access limits, avoid onward disclosure beyond the authorised purpose, and stop future access when their grant or organisation role ends. Short-lived links may remain usable for the limited period disclosed in the Privacy Policy. Revocation cannot recall downloaded files, screenshots or other independent copies.

Use sharing controls carefully and avoid unnecessary sensitive details. Yenzi remains responsible for implementing and explaining the access controls it promises; this section does not shift that responsibility to you.

7. Acceptable conduct and safety

Professional discussion can include disagreement and criticism. You must not use Yenzi to:

  • Threaten, harass, stalk, exploit or coordinate abuse against a person, or publish their private information without lawful authority.
  • Promote violence, hatred or unlawful discrimination against protected groups, or facilitate trafficking or exploitation.
  • Upload child sexual abuse material, groom a child, sexualise minors, or use professional opportunities to exploit young people.
  • Publish non-consensual intimate material or other prohibited sexual content; the Community Guidelines specify content restrictions appropriate to Yenzi.
  • Impersonate a person, recruiter or company; fabricate credentials, endorsements, verification status, vacancies or employment confirmations; or create misleading synthetic identities or materials.
  • Run scams, solicit money or credentials under false pretences, make unlawful recruitment demands, send deceptive links, or distribute malware.
  • Infringe intellectual-property rights, misuse confidential information or knowingly make unlawful defamatory claims. Good-faith reporting and criticism are assessed fairly.
  • Send spam, manipulate engagement or analytics, buy deceptive verification, or evade safety and advertising restrictions.
  • Harvest CVs, contact details or other personal information; bypass a private audience; resell candidate information; or use it for an unauthorised profiling or training dataset.
  • Exploit vulnerabilities, interfere with other accounts or overload the service. Authorised security research must follow [CONFIRM: published security reporting/access policy].

Clearly label materially deceptive synthetic content where required by the guidelines and do not fabricate another person's consent or endorsement. Rules apply to posts, comments, media, usernames, company pages, advertisements and any enabled communication feature.

Report suspected abuse through [CONFIRM: reporting route and safety contact]. We provide supported blocking and safety tools and explain their scope. If someone is in immediate danger, contact appropriate emergency services; Yenzi reporting is not an emergency-response service.

8. Companies, administrators and verification

You may act for an organisation only within your actual authority. Creating a page establishes an administrative submission, not verified authority to represent a company. An unverified page must not suggest that Yenzi independently confirmed its identity or employment approvals.

We may request official-source evidence, domain-related checks and representative authorisation. A registration document, work email, paid plan or high follower count does not alone prove every relevant claim. Verification labels explain the scope checked and may be withdrawn or reviewed when evidence or authority changes.

Organisations must maintain authorised administrator access, remove former staff, protect candidate information and follow ownership-transfer and recovery procedures. Administrators may not obtain access to a member's personal credentials or unrelated private activity merely because they administer a company page.

We may restrict disputed access while reviewing impersonation, takeover or competing claims. We use evidence and a review process rather than treating the first creator or highest-paying subscriber as the rightful representative. Claim, challenge and appeal procedures are available through [CONFIRM: company claim/dispute route].

Company-confirmed employment and self-declared experience are distinct. Companies can challenge false affiliation, but do not acquire a right to erase legitimate criticism or truthful professional history. Disputed claims may be qualified while reviewed.

Verification is not a guarantee of every statement, product, recruiter or vacancy associated with a page.

9. Recruiters, employers and opportunities

Employers and recruiters must identify themselves accurately, have authority for the opportunity they advertise, provide truthful material details and comply with applicable employment and equality laws. Do not advertise fake roles, make unlawful eligibility demands, conceal material conditions or use applicant contact details for unrelated marketing.

Recruiting access requires the candidate's relevant sharing choice or application. A public social profile or paid recruiter plan does not authorise unrestricted private-file access. Do not scrape, resell or distribute candidate records, infer protected characteristics from face or voice, or create unauthorised psychological or candidate-worth scores.

Use applicant information for the stated recruiting purpose, restrict staff access, respect applicable retention and rights obligations, and provide an appropriate employer privacy notice. Honour restrictions on downloads and onward sharing. Separate employer terms and applicable data agreements govern any additional commercial processing: [CONFIRM: employer terms URL before recruiting launch].

Candidates should provide accurate materials within their knowledge and authority. A versioned application may remain unchanged when a current profile is later edited; the submission notice explains this. Employers' independent records are handled as described in the Privacy Policy.

Unless a particular transaction expressly states otherwise, Yenzi provides the platform and is not your employer, recruitment agent or party to an employment contract. We do not guarantee an interview, job, salary, candidate suitability or hiring outcome. This does not excuse failure to deliver a paid Yenzi service as agreed.

10. Hubs and community administration

Hub administrators may establish clear additional community rules consistent with these Terms, applicable law and Yenzi's safety requirements. Community rules cannot authorise access to unrelated private information, unlawful conduct or discrimination.

Administrators are responsible for using their moderation tools appropriately and acting within their role. Members can report administrator abuse to Yenzi. Yenzi may intervene where necessary for safety, compliance or an unresolved ownership problem.

Transfer or closure procedures apply when an owner leaves. Neither a community rule nor an ownership dispute should indefinitely prevent personal account deletion; supported transfer, closure or assisted resolution remains available.

11. Advertising, promotion and commercial disclosure

Advertisements, sponsored placements and paid promotion are labelled. Purchasing promotion does not make a company verified, guarantee results or give access to private user information.

Advertisers must have authority and rights to submit their materials, identify the advertised business accurately, disclose material conditions, and comply with advertising and consumer-protection requirements. Deceptive endorsements, unsafe destinations, recruitment scams and prohibited discrimination are not allowed. Advertisers must not use the service to evade teen safeguards or target protected/private information.

Advertising terms specify placements, budgets, measurement, delivery, cancellation and any refund or credit treatment before a campaign is purchased: [CONFIRM: advertiser terms URL before launch]. We may reject or stop unsafe or unlawful advertisements. Any financial consequences are governed by the disclosed order terms and mandatory law, not an undisclosed penalty.

Users publishing commercial endorsements must make required disclosures. Advertising choices and permitted information use are described in the Privacy Policy. We do not sell personal information or grant advertisers unrestricted professional-data access.

12. Paid services, subscriptions and refunds

Paid services are available only when clearly offered. Before you pay, we show the service provider/seller, included features, price, currency, applicable taxes and charges, service start, duration, renewal terms, trial conversion where relevant, cancellation route and refund conditions. You can review and correct an order before confirming it and receive a record of the transaction.

A subscription renews automatically only where that arrangement is clearly disclosed and validly accepted. Trial-to-paid conversion and price changes follow applicable law and store requirements. A changed price does not apply retroactively; you receive required notice and an opportunity to cancel future renewal.

Unless the offer or mandatory law provides otherwise, cancelling renewal allows access until the end of the current paid period. Refunds, cooling-off rights and remedies for non-delivery or defects depend on the transaction and applicable law. We do not impose a blanket no-refund rule or treat service use as automatic waiver of a statutory right. Any permitted early-start authorisation or waiver is presented separately where required.

For purchases handled by Apple, Google or another marketplace, its applicable purchase, cancellation and refund processes also apply. We explain the correct route and provide assistance within our control. Deleting the app from your device does not cancel a subscription. Our account-deletion workflow identifies active subscriptions, stops Yenzi-managed future renewal and provides the route or assistance needed for store-managed renewal; billing must not become an obstacle to exercising deletion rights.

Billing support and the applicable published refund procedure: [CONFIRM: billing contact and refund/cancellation policy URL]. Payments and relevant records are handled under the Privacy Policy.

13. Other services and transactions

Third-party sign-in, media, external links and marketplaces may be subject to separate terms. We identify relevant third parties where appropriate. Their terms do not remove Yenzi's obligations for integrations and services it operates.

If we introduce events, courses, professional services or other transactions, the offer identifies the seller, Yenzi's role, delivery terms, charges, complaint route and applicable cancellation/refund rules before purchase. No such transaction is authorised merely by its mention here.

Assess opportunities and external requests carefully. We may investigate and restrict harmful activity, but cannot guarantee every external service or transaction. We remain responsible for our own conduct and contractual obligations under applicable law.

14. Recommendations, AI and service reporting

Yenzi may use search, classification and recommendation technology as described in the Privacy Policy. Recommendations and metrics can be incomplete or mistaken and are not professional certification, employment guarantees or personalised legal, financial or medical advice.

Content analytics distinguish estimates and reporting windows where relevant. Do not manipulate reporting or use it to identify private viewers through prohibited methods. We do not promise that impressions, applications or sponsored delivery produce a particular commercial outcome unless expressly agreed.

If additional AI features are offered, we explain their purpose, material limitations and information use before activation. A content licence or paid subscription does not permit undisclosed use of private files for unrelated model training.

15. Reports, moderation and appeals

We review reports and may remove content, limit distribution or contact, restrict a feature, suspend an account or terminate access where reasonably necessary to address violations, safety risks, fraud, compromise or legal obligations. Measures consider seriousness, risk, repetition and available evidence. Urgent risks may require immediate action before notice.

Where lawful and safe, we provide the affected user with the reason and scope of a material action and explain how to seek review. We may limit detail to protect a reporter, an investigation, another person's privacy or security. We do not promise disclosure of confidential report contents.

You may appeal through [CONFIRM: appeal route]. The process, applicable submission period and expected response information are published at [CONFIRM: moderation/appeal procedure URL]. Appeals receive appropriate human review; legal remedies are preserved.

Bad-faith reporting, retaliatory complaints and evasion of enforcement can themselves lead to restrictions. We assess criticism and competing identity or employment claims fairly. Organisations cannot buy immunity from reporting or moderation.

16. Intellectual-property complaints

Yenzi's software, branding and original platform materials belong to Yenzi or its licensors. These Terms do not transfer those rights to you. Supported display of a logo or linking to a page does not authorise misleading use of another party's identity.

If you believe content infringes your rights, contact [CONFIRM: intellectual-property complaint contact/form] with the work or mark concerned, the specific Yenzi location, your basis for the claim, contact details and evidence of authority. Submit accurate information in good faith.

We assess the claim under applicable law, may restrict disputed material, and provide a response/challenge procedure where required or appropriate. We consider lawful quotation, commentary and other relevant exceptions. Repeated serious infringement can lead to account restrictions. The procedure is available at [CONFIRM: IP notice/challenge procedure URL].

17. Closing accounts and ending access

You can stop using Yenzi and request account deletion through account settings or [CONFIRM: public deletion URL]. Deactivation, where offered, is distinct from deletion. Deletion timing, retained exceptions and independent copies are explained in the Privacy Policy.

We may end access for the reasons in section 15 or if the service closes. Where feasible and lawful, we give appropriate notice and an opportunity to obtain your information. Safety action may need to occur immediately. A suspension does not by itself extinguish your privacy rights or any applicable refund or other legal remedy.

Before leaving an organisation-admin role, use the available transfer, closure or support process. We may restrict or transfer disputed organisation access following evidence-based review; personal accounts do not become company property.

Access to paid features and related refunds or credits after termination follow the disclosed purchase terms and applicable law. We do not automatically forfeit every unused payment regardless of the circumstances.

Provisions concerning lawful retained records, completed transactions, applicable content rights, complaints and accrued obligations continue only to the extent necessary after termination. This does not extend deleted-content permissions indefinitely.

18. Service changes and availability

We work to provide a reliable service, but availability can be affected by maintenance, outages, network conditions and supported-device changes. We explain material limits of the service and any specifically agreed service commitment.

We may improve or change features. Material changes to a paid service are handled with appropriate notice and the cancellation, refund or other remedy required by the agreement or law. We do not remove purchased benefits without addressing the corresponding obligations.

If Yenzi or a substantial feature closes, we provide appropriate notice and access/export options where feasible and lawful, address affected payments and handle remaining information under the Privacy Policy.

19. Responsibility and legal protections

You are responsible for your own unlawful content, authorised actions and breaches of these Terms, subject to applicable law, evidence and appropriate allocation of responsibility. We do not require every user to indemnify Yenzi for all activity by people who gain account access.

Yenzi is responsible for its own obligations under these Terms and applicable law. We do not guarantee the accuracy of all user submissions, the suitability of an opportunity or uninterrupted service. These statements do not exclude mandatory service standards, agreed paid-service commitments or remedies.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including relevant consumer and data-protection rights. A restriction must not defeat a mandatory right or excuse conduct for which an exclusion is prohibited.

[CONFIRM: Ghana counsel must approve the final liability provisions, including whether a fair and enforceable limitation is appropriate, its scope and exceptions. This draft intentionally does not invent a monetary cap, mandatory arbitration, class-action waiver or blanket consumer indemnity. Any negotiated business allocation must be separately disclosed and cannot reduce candidates' rights.]

20. Complaints, governing law and disputes

Contact [CONFIRM: legal/complaints contact] about a contractual dispute. We provide a complaint route and seek practical resolution. Contacting us first is encouraged but does not prevent an urgent court application, regulator complaint or other mandatory remedy.

Subject to legal approval, these Terms are governed by Ghanaian law. That choice does not remove mandatory protections that apply to you elsewhere. Ghanaian courts can hear disputes where they have jurisdiction; rights to use another competent court under mandatory law are preserved.

[CONFIRM: approve governing-law wording, venue and any separate business dispute arrangement with Ghana counsel. No mandatory arbitration or waiver of collective remedies is adopted in this draft.]

Any voluntary mediation requires an appropriate agreement and does not prevent applicable statutory remedies. Privacy complaints can also be directed to the relevant supervisory authority as explained in the Privacy Policy.

21. Changes to these Terms

We publish a version and effective date and provide appropriate notice of material changes. Changes take effect prospectively, subject to applicable law and existing purchase commitments. Where renewed agreement is required, we obtain it through a clear acceptance process.

You can review the new Terms and stop future use if you do not accept them. We provide account closure and any applicable cancellation or refund options. A change to these Terms does not itself authorise new consent-required processing under the Privacy Policy.

Earlier versions are available at [CONFIRM: terms archive URL].

22. General terms and contact

If a provision cannot lawfully be enforced, the remaining provisions continue where appropriate, without rewriting the invalid provision to deprive you of a mandatory protection. Delay in enforcement does not automatically waive a right.

We may transfer the service agreement to a lawful successor subject to applicable law, notice where required, and preservation of your rights and existing obligations. You may not transfer a personal account; organisation-admin changes follow the supported authority process.

These Terms, specifically accepted feature terms and applicable negotiated agreements govern the service relationship. Nothing here overrides mandatory law, separately required privacy consent or a specific enforceable commitment we made to you.
